client agreement and terms of service
I believe each client has the ability, capacity and choice to grow, heal and move towards their own potential. I also believe that you are the expert in your own life. My role is to support you, guide you and walk beside you as you deepen your understanding of yourself, your patterns, your needs and your inner resources.
My role is not to tell you what to do, make decisions for you, or provide direct advice or solutions. Instead, our work together is designed to help you explore what is happening within you, develop self-awareness and make choices that feel aligned with your own life, values and wellbeing.
I hold a Diploma of Counselling and am qualified as a counsellor. However, the 1:1 sessions I provide are considered coaching because I draw on a range of approaches and modalities, including counselling skills, coaching, mindfulness, somatic practices, nervous system support and other holistic wellbeing tools.
While we are working together, the following contract, disclaimers and legal terms apply. By booking, paying for, attending, or otherwise engaging in sessions or services with me, you are confirming that you have read, understood and agreed to these terms. Please ensure you read the full session contract carefully before proceeding.

This agreement sets out the terms and conditions that apply when you engage Mindful Soul Collective, operated by Shorina Houston, for any service, session, program, support arrangement, resource, mentoring, healing, or other offering.
By booking a service, making payment, attending a session, accessing a program or resource, communicating with me in relation to services, or confirming acceptance by email or other written means, you confirm that you have read, understood and agreed to the terms set out in this agreement.
Purpose of this agreement
You appoint Mindful Soul Collective to provide the service, support, session, program, mentoring, healing, resource, or offering as agreed between us in writing or as described at the time of booking or purchase.
This agreement applies to all services offered by Mindful Soul Collective, including but not limited to coaching, wellbeing support, somatic practices, mindfulness, energy healing, business mentoring, WhatsApp support, online programs, digital resources, workshops, courses and any other related services or offerings.
Any specific terms, requirements, inclusions, exclusions, timelines, payment arrangements, session details, or additional needs relating to a service must be agreed in writing before the service begins.
Nature of services
Mindful Soul Collective provides holistic support services. These services may include counselling-based support, coaching, wellbeing tools, self-reflection, emotional support, nervous system education, somatic practices, mindfulness, energy healing, spiritual or intuitive reflection, business mentoring, practical strategy, resources and between-session support where included.
I hold a Diploma of Counselling and may use counselling skills within sessions. However, the services provided by Mindful Soul Collective are holistic and coaching-based in nature because they may draw on a range of modalities and approaches.
Services are not a substitute for medical care, psychological treatment, psychiatric support, legal advice, financial advice, crisis support, or any other regulated professional service.
Services are not suitable for crisis situations or acute mental health emergencies. If you are at immediate risk, or require urgent mental health, medical, or safety support, you must contact emergency services or an appropriate crisis service
You understand that I do not diagnose, treat, prescribe, or provide medical, psychological, legal, financial, accounting, or crisis intervention services. If you require support in any of these areas, you are responsible for seeking advice from an appropriately qualified professional.
My commitment to you
While we are working together, I am committed to providing a safe, respectful and professional space for you to engage with the service you have chosen.
I will provide my services with care, professionalism and integrity. Where sessions are involved, I will attend on time, prepared and ready to support you. I will offer individualised support, reflections, tools, practices, mentoring, resources, or guidance based on the service you have booked and what feels most relevant to your needs, goals and circumstances.
You understand that different services may involve different approaches. Some services may include emotional reflection, mindset work, somatic practices, body-based awareness, spiritual or energetic support, intuitive guidance, business strategy, mentoring, practical tools, or between-session support. I will aim to work in a way that is respectful, considered and aligned with the nature of the service being provided.
If I engage any contractors, coaches, representatives, or other support providers from time to time, I will take reasonable steps to ensure they have appropriate experience, training, or qualifications relevant to their role and are required to operate under appropriate professional standards.
Your commitment to yourself and the service
You understand that the results and outcomes of working together will depend on your own commitment, participation, circumstances, personal responsibility and willingness to engage with the process. This may include attending sessions, participating in discussion, completing agreed tasks or reflections, engaging with resources, implementing business or personal strategies, using suggested practices, or making changes outside of our time together.
You agree to take personal responsibility for your own choices, actions, decisions, wellbeing, business decisions, financial decisions and results. If you are unsure how to complete anything suggested, or if something does not feel suitable for you, you agree to let me know so we can discuss this further.
You understand that while I will support you with care, skill and professionalism, I cannot guarantee any specific result, outcome, healing, business growth, income increase, client growth, emotional shift, energetic change, personal transformation, or resolution of any issue.
You agree that you will not hold Mindful Soul Collective, Shorina Houston, or anyone associated with Mindful Soul Collective responsible if you do not achieve the results you had hoped for.
Sessions and appointments
Where a service includes scheduled sessions, all sessions must be scheduled and agreed in advance by me. This includes any sessions that are rescheduled due to the unavailability of either party.
Services may be provided by web-based means, such as Zoom, Google Meet, Google Hangouts, or similar platforms, by phone call, by messaging support where included, or by any other method agreed between us.
You are responsible for ensuring you have the appropriate facilities, internet connection, privacy, device access and technology available to attend your session or access the service.
My services are non-transferable and apply only to you unless otherwise agreed in writing. At no time may your service, session, program access, mentoring, support, or resource be transferred to another person, third party, group, business, or entity without my written consent.
No sessions may include, involve, or be attended by any third party unless this has been discussed and agreed by both of us in advance.
Sessions may not be recorded by either party unless this has been discussed and agreed in writing before the session.
For web-based sessions, AI-assisted note-taking may be used to support accurate record keeping and session documentation. This may include the use of an AI tool to help capture, summarise, or organise notes from the session. Any notes created remain part of your confidential client record and are used solely for the purpose of supporting the services provided to you. By attending web-based sessions, you acknowledge and agree that AI-assisted note-taking may be used for this purpose. If you have questions or concerns about this, you agree to raise them with me before your session.
Your personal information, client notes, intake forms, written communications and service records may be collected and stored for the purpose of providing services, maintaining client records, meeting administrative requirements and complying with legal or professional obligations. Reasonable steps will be taken to protect your information from misuse, loss, unauthorised access, modification, or disclosure.
Cancellations, rescheduling and late attendance
If you are unable to attend or wish to reschedule your appointment, at least 24 hours’ notice is required. This allows me the opportunity to offer the session time to another client.
Any session cancelled or requested to be rescheduled with less than 24 hours’ notice may be forfeited and may not be rescheduled.
If you are running late to your session, any missed session time will be forfeited and the session cannot be extended or rescheduled. The session will still finish at the originally agreed time so other clients are not disadvantaged.
If you are more than 15 minutes late and have not contacted me, I may stop attempting contact by phone and/or log off any web-based meeting platform. In this circumstance, the session may be forfeited.
Communication
I understand that things may come up between sessions and you may wish to reach out for support, clarification, reflection, or to share something that feels important. Where appropriate, you are welcome to contact me outside of scheduled sessions using the agreed communication method, such as email, WhatsApp, or another platform connected to the service you have booked.
However, communication outside of scheduled sessions is intended to be an additional support only. It is not a replacement for sessions and does not allow for the same depth of support, reflection, processing, counselling-based work, coaching, mentoring, or energetic support that can be provided within a dedicated session space.
While I may respond to messages where appropriate, I do not guarantee immediate responses and I may not always be available to reply. Response times may vary depending on my availability, working hours, personal circumstances, existing client commitments and the nature of the message. I am not available 24/7 and support outside of sessions should not be relied upon as urgent, crisis, or emergency support.
If your message requires a deeper level of support, reflection, processing, decision-making, strategy, or guidance, I may recommend that we bring it into our next scheduled session or book an additional session if needed. This allows me to support you properly, rather than offering a rushed or limited response through messaging.
All communication must remain respectful and within the boundaries of the service you have booked. I reserve the right to pause, limit, or cease communication outside of sessions if the level of contact becomes unsustainable, outside the agreed scope of support, inappropriate, unsafe, or impacts my ability to provide services in a professional way.
If you are in crisis, feel unsafe, believe you may harm yourself or another person, or require urgent support, you must contact emergency services, a crisis support service, your GP, mental health care provider, or another appropriate professional. Messaging me outside of sessions is not suitable for crisis support and should not be used as your primary source of support in urgent situations.
WhatsApp and messaging support
WhatsApp support is intended for brief check-ins, reflections, clarification, accountability, or support connected to the service booked. It is not intended for long-form counselling, urgent support, crisis support, or unlimited access.
Where a service includes WhatsApp support, messaging support, or between-session support, this is intended to provide additional support between scheduled sessions or as part of the agreed service.
WhatsApp support and messaging support are not crisis services, emergency response services, or a replacement for scheduled sessions, medical care, psychological care, psychiatric support, or other professional services.
Response times may vary. I am not available 24/7 and I do not guarantee immediate responses unless this has been specifically agreed in writing as part of a service. Messages may be responded to within reasonable business hours or within the timeframe outlined in the service description where applicable.
If you are in crisis, feel unsafe, or believe you may harm yourself or another person, you agree to contact emergency services, a crisis support service, Lifeline, your GP, your mental health care provider, or another appropriate professional service immediately.
Energy healing and spiritual services
Where services include energy healing, intuitive reflection, spiritual support, meditation, visualisation, or other energy-based practices, you acknowledge that these services are complementary in nature.
Energy healing and spiritual services are not intended to diagnose, treat, cure, or prevent any illness, condition, mental health concern, physical concern, or other issue. They are not a substitute for medical advice, psychological treatment, psychiatric care, counselling, legal advice, financial advice, or any other professional service.
You understand that experiences with energy healing and spiritual services vary from person to person. You are responsible for your own wellbeing, interpretation, decisions and actions following any energy healing or spiritual service.
Business mentoring
Where services include business mentoring, you understand that any guidance, reflection, education, resources, strategy, or mentoring provided is general in nature and based on the information available at the time.
Business mentoring does not constitute legal, financial, accounting, tax, employment, insurance, or other regulated professional advice. You are responsible for seeking advice from appropriately qualified professionals before making business, legal, financial, tax, employment, insurance, or other significant decisions.
You understand that business outcomes vary and depend on many factors outside my control, including your implementation, business model, pricing, market conditions, audience, personal capacity, timing, resources, finances and external circumstances. I do not guarantee income, sales, client numbers, business growth, visibility, engagement, conversion, profitability, or any other business outcome.
Confidentiality
Everything you share with me through sessions, mentoring, WhatsApp support, energy healing, written communication, online services, programs, resources, or any other Mindful Soul Collective service will be treated as confidential.
However, there are circumstances where I may be required or permitted to break confidentiality. This may include:

If I believe you are at risk of harming yourself or another person.

If your records or information are legally requested by a court of law, subpoena, or other lawful process.

If another person requests a copy of your records and you have provided written consent for this to occur.

If disclosure is otherwise required or permitted by law.
You also understand that confidentiality may be limited where services are provided through third-party platforms, including but not limited to Zoom, Google Meet, WhatsApp, email, payment processors, booking systems, course platforms, online forms, cloud storage, AI-assisted note-taking tools, or other online systems. While reasonable care will be taken to protect your privacy, Mindful Soul Collective cannot guarantee the security, privacy practices, or actions of external platforms.
Confidentiality survives and continues after services end, after termination of this agreement and in the event of any dispute.
Where required for professional supervision, reflection, training, or to ensure I am providing services safely and appropriately, I may discuss certain aspects of our work together with a qualified supervisor, mentor, or professional support person. In these circumstances, your name and any identifying information will not be shared. Any information discussed will be kept general and de-identified, and will only be shared to the extent necessary for professional guidance, ethical practice and quality of care.
Payments
All fees, prices, inclusions and payment terms will be set out at the time of booking, purchase, invoicing, or agreement. Services will only be provided once payment has been made unless otherwise agreed in writing.
If you have entered into a payment arrangement, payment plan, instalment arrangement, or package agreement, you agree to complete all payments owing under that arrangement. If a payment plan is agreed, you understand that the total amount remains payable in accordance with the agreed terms.
If you fail to pay an invoice by the due date, I may pause, cancel, or refuse to continue providing services. Scheduled session times may be cancelled or released if payment is not received by the due date.
If payment remains outstanding, I may terminate our work together immediately and may take reasonable steps to collect any outstanding debts owed.
All payment and personal information will be handled in accordance with applicable Australian privacy requirements.
Prices are subject to change from time to time. Any price change will not affect services already paid for unless otherwise agreed in writing.
Refunds
Australian Consumer Law may provide certain rights, guarantees, warranties and remedies that cannot be excluded, restricted, or modified. Nothing in this agreement is intended to exclude any rights you may have under Australian Consumer Law.
Subject to any rights available under Australian Consumer Law, refunds are not provided for change of mind, non-attendance, unused sessions, failure to complete tasks, failure to access resources, failure to implement suggestions, dissatisfaction with personal outcomes, or circumstances outside the control of Mindful Soul Collective.
Because time, preparation, resources, appointment availability, program access, or service capacity may be reserved for you, cancellation or termination may result in loss to Mindful Soul Collective. For this reason, refunds are granted only in limited circumstances and at the discretion of Mindful Soul Collective, unless otherwise required by law.
For digital products, online programs, downloadable resources, workshops, or similar services, refunds are not available once access has been provided, unless required by law.
Termination
Either party may end the working relationship in accordance with the terms of the service, package, payment arrangement, or this agreement.
I may terminate services if I believe the working relationship has broken down, there has been a loss of trust or confidence, the service is no longer suitable, continuing the service would not be in the best interests of either party, payment has not been made, boundaries have not been respected, or circumstances outside my control affect my ability to provide the service.
If I terminate services, payment must be made for all services provided up to the date of termination and for any other amounts owing under an agreed payment plan, package, or service arrangement.
If you cancel or terminate a service, package, program, or payment plan, any outstanding payment obligations may become immediately due and payable, depending on the terms agreed at the time of booking or purchase.
For any breach of this agreement, the party responsible for the breach must take reasonable steps to remedy or rectify the breach promptly where possible.
Intellectual properties
All resources, documents, worksheets, recordings, meditations, frameworks, templates, written materials, course content and other materials provided by Mindful Soul Collective remain the intellectual property of Mindful Soul Collective unless otherwise stated. They are provided for your personal or internal business use only and must not be copied, shared, reproduced, modified, sold, distributed, or used for commercial purposes without written permission.
Warranties and acknowledgements
I represent and warrant that I will provide the agreed services with reasonable care and skill, in accordance with the scope of services agreed between us and in accordance with applicable laws and generally accepted professional standards relevant to the nature of the service.
You represent and warrant that you will provide all relevant information required for me to carry out the services in a timely and accurate manner.
You acknowledge and agree that results vary from person to person and service to service. Your progress, experience and outcomes may depend on your personal circumstances, readiness, participation, implementation, wellbeing, environment, business circumstances and other factors outside my control.
If at any time during the service you feel your progress, experience, or the service itself is not as expected, you agree to let me know as soon as possible and provide me with a reasonable opportunity to respond, clarify, adjust where appropriate, or address your concerns.
I will use reasonable efforts to respond to concerns. However, I do not guarantee any particular result, change, progress, performance, business outcome, emotional outcome, healing outcome, financial result, or personal transformation.
Health, wellbeing and personal responsibility
Some services may involve discussion of health, wellbeing, emotions, stress, trauma, personal experiences, nervous system responses, body-based awareness, energy, spirituality, business stress, personal goals, or life circumstances.
You understand that services provided by Mindful Soul Collective are not a substitute for medical advice, mental health treatment, psychiatric care, crisis support, legal advice, financial advice, or any other professional care relevant to your circumstances.
You are responsible for your own physical health, mental health, emotional wellbeing, business decisions, financial decisions and personal choices at all times.
If you have a pre-existing medical, mental health, psychiatric, trauma-related, physical, or other condition, you are responsible for seeking support from a suitably qualified professional. Any information, discussion, reflection, suggestion, practice, resource, or recommendation provided through Mindful Soul Collective should not be relied upon as a substitute for professional advice or treatment.
All decisions about treatment, management, medication, health care, legal matters, financial matters, business matters, or any other professional matter must be made with an appropriately qualified professional.
Limitation of liability and indemnity
You acknowledge that Mindful Soul Collective services may involve personal reflection, emotional exploration, energetic work, spiritual practices, body-based awareness, mindset work, business mentoring, practical strategy, or discussion of challenging life experiences. As a result, difficult emotions, memories, physical sensations, energetic sensations, discomfort, uncertainty, resistance, stress, or unexpected responses may arise during or after engaging with a service.
You agree that you use the services at your own risk and remain responsible for your own wellbeing, choices, actions, decisions, business decisions, financial decisions and implementation of any tools, practices, reflections, resources, strategies, or guidance discussed or provided.
To the maximum extent permitted by law, Mindful Soul Collective, Shorina Houston and anyone associated with Mindful Soul Collective will not be liable for any loss, cost, damage, injury, illness, emotional distress, mental distress, physical stress, business loss, financial loss, loss of opportunity, loss of income, loss of profit, or other difficulty experienced by you directly or indirectly in relation to any service.
You agree to indemnify and hold harmless Mindful Soul Collective, Shorina Houston and anyone associated with Mindful Soul Collective from and against any claims, liabilities, actions, proceedings, demands, losses, costs, damages, expenses, or legal fees arising directly or indirectly from your participation in any service, your breach of these terms, your misuse of the services, your reliance on information provided, or your own choices, actions, decisions, or omissions, to the extent permitted by law.
Nothing in this agreement excludes, restricts, or modifies any rights, remedies, guarantees, or protections that cannot be excluded under Australian Consumer Law or any other applicable law.
Disputes
If at any time any aspect of the services is not reasonably acceptable to you, or if a disagreement arises about the quality, substance, scope, communication, delivery, or nature of the service, you agree to notify me as soon as possible in writing and provide clear details of your concern.
You agree to give me a reasonable opportunity to respond, clarify, address, or resolve the concern.
Feedback and discussion are important parts of the working relationship. You acknowledge that I can only respond to concerns that are communicated to me.
If a dispute arises, both parties agree to keep communications and discussions confidential, except where disclosure is required by law or necessary to obtain legal, professional, or dispute resolution advice.
Both parties agree not to make public comments, posts, statements, or communications about the dispute while it is ongoing, including on social media or public platforms.
If a dispute cannot be resolved between us, both parties agree to make reasonable efforts to resolve the matter through an appropriate independent dispute resolution process before commencing formal legal proceedings, unless urgent legal action is required.
Independent contractor relationship
The relationship between you and Mindful Soul Collective is that of client and independent service provider.
This agreement does not create a partnership, joint venture, employment relationship, agency relationship, fiduciary relationship, or any other relationship between the parties.
Neither party has authority to bind the other party except as expressly set out in this agreement.
Acceptance of terms
By booking a service, making payment, attending a session, accessing a program or resource, communicating with me in relation to services, or confirming acceptance by email or other written means, you confirm that you have read, understood and agreed to these terms.
You also confirm that you have had the opportunity to ask questions before proceeding and that you are engaging with Mindful Soul Collective voluntarily.
